PHONOGRAM AND DIGITAL DISTRIBUTION LICENSE AGREEMENT

Among the following parts:
‍
[Name of the Artist/Label/Rights Holder], hereinafter referred to as “Licensor”, and
SECRET STAR MUSIC GROUP, LLC, a company incorporated in the State of New York, with registered in New York, together with its subsidiaries (hereinafter,
“SECRETSTAR”).
‍
Both parties, together, will be referred to as the “Parties”, agreeing as follows:

1. OBJECT OF THE CONTRACT
‍
The Licensor grants SECRETSTAR a non-exclusive, worldwide license to distribute digitally
your phonograms, audiovisual works and covers (“Musical Products”) across platforms
digital streaming, downloading, social networks and other existing or future technologies.
This contract does not include distribution in physical formats or the alteration of the Music Products,
except for the technical settings necessary for publication on digital platforms.

2. RIGHTS TO MUSICAL PRODUCTS
‍
The Licensor declares and guarantees that it is the legitimate owner of all rights to the Products
Musicals and that you can freely license them to SECRETSTAR.
The Licensor will hold SECRETSTAR harmless from any third-party claim for
unauthorized use of recordings, compositions, images or marks.

3. OBLIGATIONS OF THE LICENSOR
‍
- Upload the Music Products to the SECRETSTAR platform with correct metadata (titles,
credits, ISRC, covers).
- Ensure that the contents do not infringe the rights of third parties.
- Provide the necessary bank information for the payment of royalties.
‍
4. SECRETSTAR OBLIGATIONS
‍
- Distribute Music Products on associated digital platforms.
- Provide access to royalty reports through the control panel.
- Settle and transfer the corresponding royalties in accordance with the contracted plan.
‍
5. ROYALTIES AND PAYMENTS
‍
Net revenues (“Net Royalties”) generated by digital distribution will be divided by
Licensor and SECRETSTAR according to the subscription plan chosen by the Licensor, which can
include:
‍
- Plan per launch (one-time payment per project, variable royalties depending on the price table).
- Monthly plan (recurring subscription with royalties assigned according to plan).
- Annual plan (recurring subscription with royalties assigned according to plan).
The specific participation and benefit percentages are detailed in the pricing section of the
SECRETSTAR's official website (www.secretstar.us/es).
Payments will be made once a cumulative minimum of 50 USD has been reached, within 60 days
after the receipt of funds by digital platforms.

6. DURATION AND TERMINATION
‍
This contract will have an initial term of 1 year, automatically renewable unless otherwise notified by
either party 30 days in advance.
The Licensor may request cancellation at any time, subject to the above-mentioned notice.
SECRETSTAR may immediately terminate the contract in the event of a breach on the part of the party
of the Licensor.

7. RESPONSIBILITY
‍
SECRETSTAR does not guarantee minimum income, inclusion in editorial lists or results of
promotion, since these depend on external factors and the market.

8. CONFIDENTIALITY
‍
The Parties undertake to keep all confidential and commercial information confidential.

9. APPLICABLE LAW AND DISPUTE RESOLUTION
‍
This agreement will be governed by the laws of the State of New York, USA
Any dispute will be resolved through arbitration at the International Chamber of Commerce (ICC),
unless otherwise agreed between the parties.

10. ACCEPTANCE
‍
The Licensor, by subscribing to any of the SECRETSTAR plans, states that he has read,
understood and accepted in their entirety the terms of this contract.
